Details of the Job/Internship
Swiggy is seeking a General Manager - Legal based in Bengaluru. Employees will attend the office two or three times a week at their base location and work remotely for the remaining days, especially in partner-facing roles.
Role and Responsibilities
PE/M&A, investments and corporate:
- Lead Swiggy’s’ PE/M&A, investment and other corporate development activities from legal perspective.
- Structuring and evaluating new/proposed transactions in collaboration with relevant stakeholders;
- Review, draft and negotiate transaction documentation including term sheets, definitive agreements and closing documentation.
- Advise business and commercial teams on commercial arrangements/business models by highlighting potential legal issues, risks, and collaborating with stakeholders to develop and implement appropriate risk-mitigation strategies
- Provide commercial and practical general business advisory and support from a legal perspective relating to business operations
- Compliance:
- Proactively advise and assist in managing important change in laws and regulation;
- Lead the team in developing processes, policies and procedures designed to reduce legal risk and/or increase efficiency;
- Work with respective functions and business teams to ensure smooth implementation of regulatory compliance and processes;
- Facilitate acquisition of compliance certificates and registrations
- Organize and deliver compliance training and communications;
- Be a key contributor to developing and implementing new compliance policies;
Essential Skills:
- Competence in broad range of corporate laws, especially in both Indian domestic and trans-national commercial transaction;
- Extensive experience and strong skills in drafting and negotiating transaction documentations; Extensive experience in analysing and responding to regulatory and compliance matters;
- Excellent ability to analyse and assess business processes, spot issues and propose/implement solutions; Ability to function autonomously yet communicate laterally and upwardly with ease;
- Strong legal and business judgment;
- Excellent written and oral communication skills; and
- Excellent interpersonal skills to effectively communicate and coordinate complex issues and projects with diverse levels of management and employees.
- Ready and willing to take up new projects.
Eligibility
- LL.B., from a recognized university in India;
- 7+ years PQE with significant PE/M&A experience;
- Exceptional written and verbal communication skills;
- Ability to manage varied stakeholders both in India and internationally;
- Sound and practical business judgment
