We are scaling rapidly and seeking a high-caliber Group Legal & Compliance Manager to lead our legal, regulatory, and governance frameworks across jurisdictions, ensuring absolute compliance while enabling business speed and innovation.
Details of the Job/Internship
Protein World Group is hiring for the position of Group Legal & Compliance Manager with 8-12 years of experience to join their office in Gurugram.
Role and Responsibilities
1. Group Compliance Oversight
- Maintain a master compliance calendar for all group entities.
- Ensure adherence to Indian regulations (Companies Act, FEMA, GST, RBI) and sector-specific norms.
- Oversee statutory compliance for Singapore (ACRA), Hong Kong (CR), and UK (Companies House).
2. Legal Risk Management
- Draft, review, and negotiate contracts with suppliers, partners, investors, and government bodies.
- Manage intercompany agreements for IP licensing, management services, and cross-border transactions.
- Maintain documentation for transfer pricing and treaty compliance.
3. Corporate Structuring & Governance
- Support board governance: statutory registers, board minutes, shareholder records.
- Manage shareholding structures, holding companies, and trusts.
- Oversee creation and upkeep of subsidiaries and SPVs for new ventures.
4. Cross-Border Regulatory Compliance
- Ensure compliance with foreign exchange controls and tax treaties.
- Liaise with external counsel in each jurisdiction for sector-specific requirements.
- Maintain substance and residency requirements for Singapore/HK entities.
5. Audit & Reporting
- Coordinate statutory audits across jurisdictions.
- Prepare compliance and risk reports for senior leadership.
- Lead internal audits to pre-empt regulatory risks.
Eligibility
- Education: LL.B/LL.M or Company Secretary (CS).
- Experience: 8–12 years in legal & compliance, including 3+ years in a multi-country/group role.
Expertise:
- Strong command of Indian corporate, tax, and regulatory laws.
- Exposure to Singapore, Hong Kong, and UK frameworks.
- Commercial contract drafting expertise.
- Experience in regulated industries (telecom, manufacturing, energy, financial services) preferred.
