Airtel is looking for a candidate for the position of Head of Legal & Regulatory.
Role and Responsibilities
LEGAL:
- CONTRACT MANAGEMENT:
- Responsible for tracking and monitoring contract changes, deliverables, correspondence, and risks, maintaining associated documentation.
- Drafting & Vetting of Master Service Agreements, Non-Disclosure Agreements, Statements of Work, Service Provider Agreements, Vendor Agreements, Lease agreements, Lease agreements, Arbitration agreements, and Memorandum of Understanding.
- Drafting & vetting of Deed of Indemnity, Leave & Licensing Agreement.
- Drafting, Sale Deed & Property Development Agreement.
- Research on contractual terms and conditions or other regulations.
- Assists in identifying contract management issues proposing solutions for approval & Managing Pre & Post contract review.
- Identifying commercial and legal risks in a contract.
- Facilitating effective implementation of contracts.
- Assist, Negotiate & structure commercial and legal terms in conjunction with the business & Corporate guidelines.
- Identifying risks of contract and initiating discussion.
- Ensuring efficient, effective, and compliant contract process.
- Monitoring & Tracking contractual compliance and watching closely the clauses leading to variations and other legal obligations/repercussions arising out of executed/signed-off contracts.
- Monitoring the performance of the various contracts.
- LITIGATION:
- Managing Corporate Litigation including Arbitration, Consumer, Civil & Criminal Matters for both in High Court & the trial courts in Maharashtra.
- Preparations of briefs, pleadings, Plaint, Written Statements, Affidavits, etc relating to the cases.
- Interactions with outside counsel, technical experts, jury consultants, paralegals, support staff, and business unit representatives.
- Interaction with the Company Attorney and the Sales group, as and when required.
- Legal advice on routine and highly complex legal matters and/or within specific areas of expertise.
- Co-ordinating with Statutory Authorities on matters relating to the Company.
- Researching and collecting relevant Laws and Materials for the Assigned cases.
- Preparation of Synopsis of the Arguments to be presented in the Court; Translation of Documents to English.
- Handling pre-litigation issues like drafting Notices for defaulting Partners, Reply Notices of the Customers & Vendors, initiate amicable settlements.
- IMMOVABLE PROPERTY:
- Title investigation of property, transfer of property, contracts for sale and purchase of property, documentation.
- Scrutinizing the Property Papers & vetting as well as the verification of the title of the Property.
- Legal Opinion on Title of the Property.
- Scrutiny of documents relating to the acquisition of properties on lease / outright purchase.
- Verification of records with the sub-registrar of properties for the authenticity of the documents provided and to get first-hand information about other related deals.
- Drafting of lease deed/agreement to sale/sale deed and execution thereof with due payment of stamp duty, and registration costs with the appropriate authorities.
- Defend any outside agency interfering with the rights acquired by the company by virtue of the lease deed/sale deed to protect the interests of the company.
- Maintaining records of lease deeds/agreements including updating of the same from time to time.
- Scrutiny of commercial proposals and to provide appropriate legal agreements/documents for execution
- Protect the company’s interests in case of commercial and civil litigations including consumer forums wherever cases are filed against the company.
- Submission of regular legal reports and such other reports as may be required from time to time.
- Regulatory:
- Compliance with the provisions of the license agreement executed by the company with the Department of Telecommunications (DoT).
- Compliance with all Regulations, Instructions, Notifications, etc issued by DoT, the Telecom Regulatory Authority of India (TRAI), the Ministry of Information & Broadcasting (MIB) & the Reserve Bank Of India (RBI).
- To develop & maintain amicable relationships with government bodies DoT / TERM, TRAI, CCA, BSNL, and other telecom operators at the circle level.
- To monitor subscriber activation and verification process and sensitize/educate all concerned in this regard.
- To guide and assist the Circle Nodal Officer.
- Support concerned functions in the closure of all audits pertaining to legal & regulatory.
- Responsible for closure/resolution of all types of queries pertaining to licensing conditions raised by TERM Cell on a regular basis.
- To educate and sensitize the cross-functional teams [Sales & CSD] for improvement in the acquisition and documentation process helping to increase compliance scores in monthly subscriber verification audits and ensure minimal penalty.
- Responsible / Coordinate with TERM Officials for final discussion and closure of monthly joint subscriber verification/documentation audit so as to achieve a satisfactory compliance score on a monthly basis.
- Responsible / Coordinate with TERM Officials for discussion, submitting appropriate responses, and closure of all EMF-related compliances.
- GENERAL:
- Internal: The position is responsible for the effective control and the implementation of the statutory compliance of various rules and regulations affecting the company. A complete co-ordination with all the departments along with MO are to be effectively maintained.
- External: Coordination with external agencies, other operators, TERM Cell, Statutory agencies viz, law enforcing agencies, and Courts. Besides the above coordination with the Law firms and advocates should be cordial and effective.
- LSA Field Management (TERM/CCA/TRAI RO), adherence to licensing compliances, and Infrastructure Support -
- Improve interaction quality with LSA units of DoT / TRAI RO to improve compliance scores of CAF / EMF & MRO.
- Timely & qualitative response to all notices/correspondences for risk mitigation.
- Business intelligence on regulatory compliances.
- Interact & strengthen relationships with BSNL/MTNL/CCA.
- Ensure adherence to UL/UASL audit, inspection requirements & all security compliances (as per license conditions).
- Timely support on Legal matters to Nodal and other LOBs including drafting of police complaints/FIRs incorporating relevant sections of the Law and provision of legal representation wherever required.
- LITIGATION MANAGEMENT:
- Matters involving demand - Interim Orders for a stay of a minimum of 70% of aggregate demanded amounts.
- Other matters, including criminal matters – Deft and efficient handling with strict adherence to the Litigation Management Policy. (Targeted closure of consumer cases ~4% per quarter/ 15% per annum).
- Focus on reduction of litigation – conscious effort for an out-of-court settlement in appropriate cases; attempt final hearing in cases where pleadings etc. are complete to achieve disposal.
- Matters involving top Management – the fervent effort to achieve closure/ deletion of names from an array of parties.
- Timely and accurate updation of Central Database (NMS), ensuring quality inputs.
- Timely, accurate, and quality management of litigation and appropriate reporting to the Center as set out in LMP.
- Contracts and Disputes Management:
- Contract Management in strict compliance with the Contract Management Process.
- Advising business on all aspects of interpretation of contracts.
- Deft handling of disputes and arbitrations, right from the notice stage until the conclusion.
- Ensure compliance with the DAR process.
REGULatory COMPLIANCE MANAGEMENT:
- Ensure adherence to all TRAI compliances with MNP issues at circle, QoS, UCC, or any other audits from circle and directions on Advertisements as per TRAI Guidelines (TCCPR - Nodal & Appellate Details ), including all reporting with accuracy and timeliness
- Taking up with BSNL/MTNL for retrieval of BG (IUC and Port BG).
- Adherence to Regulatory Notice & litigation management policy and timely reporting & approvals of compliances in CMS.
- To manage and lead the USOF project by ensuring timely approvals from the LSA/CCAs and adequate coordination with state authorities including correspondence.
- ROW Permissions: Facilitate speedy rollout of towers & fiber through coordination with state govt. / local municipal bodies / State or District Broadband Committees.
- Acquisition support for CTA & Government sites aligned with gazette notification on RoW.
Eligibility
- Education Qualification: BL/LLB/ML/LLM
- Total Experience: Minimum 10 years in relevant field
- Certifications required (if any): Computer System knowledge, working experience Word, Excel, Powerpoint, etc., - Any diploma in computer science operation like NIIT or any reputed institution preferred
- Technical Competencies: Good knowledge of computer skills like Word, XL, and PowerPoint.
- Leadership and Behavioural Competencies: Good Communication, decision-making, adaptability, interpersonal skills, strategic thinking, and the ability to motivate and inspire others. Developing and demonstrating these competencies is essential for success in leadership roles.
