Details of the Job/Internship
IGT Solutions is hiring a Head CS & Legal with 10+ years of experience to join their office in Gurgaon.
Role and Responsibilities
- Ensure compliance with Companies Act, SEBI Regulations, LODR, and other statutory requirements across jurisdictions.
- Manage end-to-end IPO processes including due diligence, drafting of offer documents, and coordination with regulators and advisors.
- Organize Board meetings, AGMs, prepare agendas, minutes, resolutions, and maintain statutory registers.
- Advise the Board and senior management on corporate governance and strategic legal matters.
- Monitor secretarial standards and implementation of ethics and governance policies.
- Act as a core member of internal committees such as Audit, CSR, and Risk.
- Drive corporate actions including mergers, restructuring, and ESOPs.
- Draft, vet, and negotiate commercial agreements, MSAs, SOWs, NDAs, leases, and other key contracts.
- Provide legal support to HR and Administration on labor laws and employee relations.
- Conduct legal due diligence for business initiatives, expansions, and acquisitions.
- Oversee contract lifecycle management and contract governance frameworks.
- Represent the company in legal proceedings and liaise with external counsel and regulators.
- Lead and mentor the secretarial and legal teams and collaborate with internal stakeholders.
- Design and implement legal and compliance risk mitigation strategies.
- Conduct compliance, ethics, and code of conduct training programs.
- Act as a trusted legal and governance advisor to the Board and CXOs.
Eligibility
- Qualified Company Secretary and member of the Institute of Company Secretaries of India (ICSI).
- Must hold a law degree.
- Minimum 10 years of experience in corporate secretarial, governance, and contract management roles.
- Mandatory experience in handling IPOs.
- Experience in listed companies or transitioning from private to public entities is preferred.
- Strong exposure to regulatory filings, disclosures, and investor relations.
