Details of the Job/Internship
Runaya is hiring for the position of Head Legal & Company Secretary with 5 years of experience to join their office in Mumbai.
Role and Responsibilities
Legal Risk & Compliance
- Monitor and ensure compliance with statutory and regulatory obligations.
- Proactively advise management on legal and compliance risks and mitigation strategies.
- Develop and implement checklists, trackers, and controls to monitor compliance and disclosures.
Contracts & Transactions
- Draft, review, and negotiate contracts, agreements, and internal policies to ensure alignment with legal and business requirements.
- Advise business teams on legal implications of transactions and strategic initiatives.
- Collaborate with cross-functional teams to address legal matters in procurement, partnerships, and vendor relationships.
Litigation Management
- Oversee ongoing litigation, manage external counsel, and drive timely resolution of legal disputes.
- Aim to reduce legal exposure and external legal costs through active oversight and strategic interventions.
Governance & Company Secretarial
- Ensure robust corporate governance and timely compliance with company law and regulatory filings.
- Prepare board resolutions, minutes, and other secretarial documents in line with statutory requirements.
- Maintain statutory registers, handle ROC filings, and support audits.
Stakeholder & Team Management
- Build strong working relationships with internal stakeholders and external legal advisors.
- Conduct internal training on compliance, ethics, and corporate governance for employees and contract staff.
- Act as a key advisor to the executive leadership on legal matters impacting the business.
Eligibility
Qualifications:
- CS + LLB from a reputed institute
- Minimum 5 years of relevant experience in corporate legal and secretarial roles
Skills & Competencies:
- Strong understanding of corporate, commercial, and company law
- Excellent drafting, negotiation, and legal risk assessment capabilities
- Effective communication and stakeholder management skills
- High levels of integrity, ethics, and professional judgement
- Ability to work independently in a fast-paced, evolving business environment
