CapitalXB is hiring a Head – Legal & Compliance with 10+ years PQE to join the leadership team, reporting to the Executive Director. The role involves overseeing legal advisory, compliance, litigation, and corporate governance while leading a team of lawyers and working closely with the Company Secretary.
Role and Responsibilities
- Provide strategic legal advice to the Board and senior management.
- Evaluate and mitigate legal risks in structured transactions, securitization, and partnership deals.
- Support business teams in structuring domestic and export factoring transactions.
- Advise on lending, financing, and investment-related legal matters.
- Oversee drafting, reviewing, and negotiating contracts and agreements.
- Standardize legal templates for products and structured financing.
- Ensure corporate governance compliance and draft secretarial documentation with the Company Secretary.
- Provide legal inputs during board and committee meetings.
- Build, mentor, and manage a legal team.
- Develop internal legal policies and training programs.
- Ensure compliance with RBI regulations and NBFC legal requirements.
- Support regulatory filings and responses to authorities.
- Coordinate with external counsels for litigation management.
- Track and report on litigation and dispute resolution.
- Develop internal SOPs and compliance frameworks.
- Conduct training for internal stakeholders on legal and compliance topics.
Eligibility
- LLB or LLM from a reputed university; CS qualification is an added advantage.
- 10+ years post-qualification experience in NBFCs, banking, or financial services.
- Strong knowledge of NBFC regulations, RBI guidelines, corporate laws, and financial legal frameworks.
- Proven leadership, communication, negotiation, and stakeholder management skills.
- Experience in loans and financial assistance products of banks and NBFCs.
