Details of the Job/Internship

ESDS Software Solution Limited is hiring for the position of Head of Legal with 15+ years of experience to join their office in Nashik.

Role and Responsibilities

Contract Management

• Draft, review, and negotiate a wide range of agreements including:
• Customer contracts, Service Level Agreements (SLAs), Master Service Agreements (MSAs), and Data Protection Agreements (DPAs).
• Vendor contracts, ensuring risk mitigation and compliance with internal standards.
• NDAs, MoUs, strategic alliance agreements, and joint venture contracts.
• Ensure all legal documents comply with relevant laws including the Information Technology Act, GDPR, DPDP Act, and related regulatory frameworks.

Risk Mitigation & Legal Strategy

• Identify potential legal risks and provide practical, actionable legal solutions.
• Implement and drive contractual protections involving liabilities, indemnities, warranties, termination rights, and service credits.
• Lead legal due diligence and compliance reviews for mergers, acquisitions, and partnerships.
• Create and maintain contract templates and legal playbooks for streamlined operations.

Litigation & Dispute Resolution

• Collaborate with external counsel for effective litigation management, arbitration, and dispute resolution.
• Draft and respond to legal notices, show-cause notices, and initiate appropriate legal proceedings when necessary.
• Maintain organized documentation and communication trails for defending ESDS in legal disputes.

Compliance & Governance

• Ensure adherence to legal requirements in areas including IT law, contract law, labour law, privacy, and cybersecurity.
• Partner with internal departments—IT, HR, finance, and sales—to align operational practices with legal and regulatory mandates.
• Conduct internal training sessions on topics like IP protection, compliance protocols, and emerging legal risks.

Eligibility

• Education: LL.B / LL.M from a reputed law school.
• Experience: Minimum 15 years, with proven expertise in IT contracts, SaaS/cloud service agreements, and dispute resolution.
