Porter is hiring an experienced legal professional for the position Head of Legal to join them in Bengaluru office.
Role and Responsibilities
- Collaborate with different stakeholders: Board, Management, Finance, HR, and Operations teams, to address legal issues and provide strategic advice.
- Establish policies, procedures, and guidelines for compliant operations in all the jurisdictions the Company operates.
- Establish necessary checks and balances, and lead indicators for compliance matters.
- Stay updated with amendments and industry standards, conduct legal research and analysis to support decision-making.
- Be on top of the changing legal environment and pre-empt the risks and adverse impact.
- Proactively identify risks associated with strategic transactions, such as contractual obligations, intellectual property rights, regulatory compliance, and litigation risks.
- Lead and groom the in-house legal team, provide guidance, mentorship, and support.
- Develop and implement legal training programs to educate teams on legal risks and compliance requirements.
- Manage IP protections, support litigation team with demands of ongoing cases.
- Manage and oversee legal filings, and compliance with regulatory requirements.
- Provide expert legal advice on laws governing the company, corporate governance
- matters, intellectual property, employment law, and regulatory compliance. Plan and execute the Pre-IPO, IPO, and Post-IPO journey of the Company.
- Actively support on the policy advocacy matters of the organization.
- Draft, review, and lead negotiations on a wide range contracts and agreements.
- Ensure contract terms and conditions comply with legal requirements, ensure company's interests and position, and promote efficient operations.
- Work on the Investor’s agreements (SHA, SSA, and AoA).
- Adept in drafting agreements, terms of services, privacy policies, terms and conditions, rewards and recognition programmes, wallet policies etc. of a technology services company.
- Lead standardization and automation of contracting processes.
- Identify and assess legal risks associated with functional operations, including contract risks, intellectual property risks, data privacy risks, quality, and regulatory risks.
- Collaborate with internal teams to implement risk mitigation strategies and develop appropriate policies and procedures.
- Actively work towards resolution of all regional disputes, including contract disputes, employment disputes, etc.
- Manage and oversee litigation matters, including working with internal stakeholders, external counsel, and business partners to negotiate and settle disputes in a timely and cost-effective manner.
- Assist in the development and implementation of strategies to minimize future disputes and improve claims management processes.
Eligibility
- LLB or LLM from a leading law school.
- Have prior experience in appearances before courts, authorities and tribunals.
- Minimum 15 years of experience
- Leadership experience, with the ability to effectively manage and mentor a team of legal professionals.
- Should be able to challenge status-quo/ external views and take reasoned stance after evaluating pro’s and con’s.
- Ability to thrive in a fast-paced environment and multi-task effectively.
- Ability to work independently as well as lead a team, be part of the cross-functional and international team, all at the same time.
- Strong interpersonal and communication skills, with the ability to build rapport and influence stakeholders at all levels of the organization.
- Should have the ability to peer around the corner with good connects with regulators and understanding of the evolving regulatory landscape.
- Proven track record of providing strategic legal advice and managing complex legal matters.
- Should have led structuring of business model/s in alignment with commercial considerations and regulatory requirements.
- Excellent analytical and problem-solving skills, with the ability to identify and mitigate legal risks.
