Details of the Job/Internship
Simbhaoli Sugars Limited is hiring for the position of Head of Legal with experience of 15+ years to join their Noida office.
Role and Responsibilities
Legal Strategy & Advisory
- Develop and execute the company’s legal strategy in alignment with the CIRP process and resolution plan.
- Provide legal advice to the Resolution Professional (RP), Committee of Creditors (CoC), and management on matters related to insolvency, corporate governance, and compliance.
2. CIRP Legal Compliance
- Ensure full compliance with the Insolvency and Bankruptcy Code (IBC) and related regulations.
- Collaborate with the RP to prepare legal documents, including petitions, affidavits, and other filings required by the National Company Law Tribunal (NCLT).
3. Litigation Management
- Manage ongoing litigations, arbitrations, and disputes involving the company.
- Coordinate with external legal counsel to represent the company in legal proceedings.
Regulatory Compliance
- Ensure compliance with SEBI, BSE, and other regulatory requirements applicable to listed companies.
- Monitor developments in laws and regulations and provide guidance to ensure adherence.
5. Contract Management
- Review, draft, and negotiate commercial contracts, agreements, and MOUs.
- Safeguard the company’s interests by identifying and mitigating legal risks in agreements.
6. Stakeholder Management
- Act as a liaison between the company, RP, CoC, creditors, and regulators.
- Provide timely legal updates and disclosures to stakeholders.
7. Corporate Governance
- Advise on corporate governance issues, including compliance with listing obligations and disclosure requirements.
- Support the RP in maintaining transparent and ethical business practices.
8. Team Leadership
- Lead and mentor the legal team to ensure high standards of performance and efficiency.
- Foster a culture of compliance, integrity, and proactive risk management.
Eligibility
- Education: LLB/LLM from a recognized university; additional certifications in corporate law or insolvency law are preferred.
- Experience: Minimum 15+ years of legal experience, with at least 5 years in a senior leadership role.
Salary/Stipend
Rs. 2,00,000/- to Rs. 2,50,000/-
