Details of the Job/Internship
Vestd is hiring an In-House Lawyer with a minimum of three years of experience to join their remote-first team in India.
Role and Responsibilities
- Provide legal support on corporate and commercial matters.
- Support internal stakeholders in India and the UK on share schemes, corporate structures, and investment activities.
- Draft and review legal documents, including shareholders’ agreements and articles of association.
- Support compliance under the Companies Act, 2013, FEMA, and relevant SEBI regulations.
- Advise on employee share schemes, including ESOPs, SARs, RSUs, and phantom shares.
- Work closely with the UK-based head of the legal team.
- Ensure legal compliance while supporting business growth.
- Use technology and AI tools to streamline processes and improve efficiency.
Eligibility
- Qualified lawyer with a minimum of three years of corporate law experience.
- Experience with early-stage and scale-up companies.
- Strong understanding of shares, shareholders’ agreements, and articles of association.
- Knowledge of equity-related compliances under the Companies Act, 2013, FEMA, and SEBI regulations.
- Experience with employee share schemes such as ESOPs, SARs, RSUs, phantom shares, EMI, and CSOP.
- Excellent legal drafting and communication skills.
- Comfortable working in a fully remote environment.
- UK law degree and experience with FCA-regulated firms are advantageous.
