Details of the Job/Internship
Axis Capital Limited is hiring a Vice President – Investment Banking Legal with experience of 10–15 years to join its Worli office. The role sits within the Corporate Services department under the Legal & Compliance team and reports to the Chief Compliance Officer, supporting investment banking transactions, regulatory advisory, and governance processes.
Role and Responsibilities
- Draft, review, and negotiate transaction documents including engagement letters, term sheets, NDAs, share purchase/subscription agreements, shareholders’ agreements, offer documents, information memoranda, and placement documents.
- Advise the Investment Banking team on applicable SEBI regulations including ICDR, LODR, PIT Regulations, Takeover Code, and other relevant circulars and guidelines.
- Identify and assess legal and regulatory risks associated with proposed transactions and business initiatives.
- Provide pragmatic, business-oriented legal advice while safeguarding the firm’s legal and reputational interests.
- Support internal approvals, legal sign-offs, and documentation for Investment Banking Committee, Management, and Board approvals.
- Collaborate with Investment Bankers, Compliance, Risk, Finance, and Operations teams to facilitate smooth deal execution and reporting.
- Support training and awareness initiatives for Investment Banking teams on legal and regulatory developments.
- Assist in developing and updating standard templates, playbooks, and legal SOPs for investment banking activities.
- Liaise with regulators and external counsels as required for transactions.
- Demonstrate strong drafting, negotiation, analytical ability, stakeholder management, integrity, judgement, and attention to detail while managing multiple transactions under tight timelines.
Eligibility
- Bachelor’s degree in Law (LLB); LLM preferred.
- 10–15 years of relevant experience.
- In-house legal role within an investment bank.
- Prior hands-on experience in capital markets and M&A transactions is essential.
