Details of the Job/Internship
Goodera is hiring a Junior Legal Counsel with 1–3 years of experience to join their office in the Greater Bengaluru Area. The role includes supporting corporate transactions, drafting and negotiating commercial agreements, and assisting with legal due diligence. The position also involves providing compliance advisory, evaluating statutory requirements, and conducting litigation risk analysis.
Role and Responsibilities
- Support end-to-end processes for corporate transactions.
- Draft, review, and negotiate commercial agreements.
- Assist the Company Secretary with legal due diligence and risk identification.
- Evaluate and maintain corporate governance and statutory compliance under the Companies Act, 2013 and Secretarial Standards.
- Serve as the first point of contact for IPO preparedness and regulatory compliance matters, including SEBI Regulations.
- Conduct risk analysis of pending litigations to assess legal exposure.
- Provide solution-oriented legal advice and practical recommendations to stakeholders.
Eligibility
- Prior experience as an Associate or in a similar role at a recognized Tier 1 Indian law firm.
- 1–3 years of post-qualification experience in General Corporate or M&A practice.
- Bachelor of Laws (LL.B.) or integrated law degree (B.B.A. LL.B.) from a top-tier institution.
- Practical knowledge in Corporate Law, legal due diligence, contract drafting, compliance analysis, and corporate advisory.
