Details of the Job/Internship

Constellation Blu is hiring for the position of Lawyer with 3-5 years of experience to join their office in Mumbai. 

Role and Responsibilities

• Draft, review, and negotiate term sheets, shareholder agreements, share purchase/subscription agreements for investment transactions.
• Manage investment compliance and closing activities, including deal structuring and execution in early-stage funding rounds.
• Conduct due diligence, and handle pre-closing and post-closing matters for M&A and investment transactions.
• Advise clients on general corporate and commercial legal issues affecting daily business operations.
• Liaise with stakeholders, investors, and advisors throughout the lifecycle of a transaction.
• Apply working knowledge of FEMA and tax regulations as they relate to funding and cross-border structures.

Eligibility

• LL.B. with 3–5 years of post-qualification experience.
• Experience in a law firm handling corporate and transactional work preferred.
• Proven expertise in early-stage and growth-stage funding, M&A, and investment transactions.
• Strong drafting, negotiation, and analytical skills.
• High degree of execution ownership, detail orientation, and ability to manage multiple deals simultaneously.
• Sound understanding of legal frameworks relevant to the start-up and venture capital ecosystem.
