Details of the Job/Internship
Sigmoid is hiring a Legal & Company Secretary with 7–15 years of experience to join their team in Bengaluru.
Role and Responsibilities
- Ensure compliance with the Companies Act, 2013, and SEBI, MCA, and RBI regulations.
- Organize Board and Shareholder meetings and maintain minutes and statutory registers.
- Handle ROC filings and manage entity incorporation or restructuring processes.
- Support Delaware C-Corp governance including board consents, stock ledger maintenance, and 409A valuations.
- Assist with US regulatory filings and coordinate with external US advisors.
- Review, track, and manage legal contracts and agreements.
- Handle IP filings, NDAs, MOUs, and maintain a contract repository.
- Support compliance for fundraising rounds, due diligence, and shareholder agreements.
- Administer ESOPs and ensure FEMA/FDI/ODI compliance.
Eligibility
- Member of the Institute of Company Secretaries of India (ICSI).
- 7+ years of post-qualification experience in a tech or multinational services firm.
- LLB or experience with corporate legal matters preferred.
- Exposure to US corporate governance and subsidiary management is desirable.
