Details of the Job/Internship

Alphastream is hiring for the position of Legal Analyst with 3+ years of experience to join their office in Bengaluru. 

Role and Responsibilities

1. Private Credit Agreement Analysis

• Review and interpret complex private credit agreements, including amendments, bespoke clauses, and intercreditor arrangements.
• Extract and validate key legal and commercial terms such as:
• Facility structure and subordination hierarchy
• Interest rate mechanics, margins, and pricing schedules
• Financial covenants and compliance thresholds
• Security package and collateral arrangements
• Cash flow waterfalls and payment priorities
• Jurisdictional and governing law considerations

2. Oversight & Quality Assurance

• Validate and review data extracted by junior analysts to ensure accuracy and completeness.
• Provide expert legal analysis of clauses including covenants, events of default, representations & warranties, and Payment-in-Kind (PIK) mechanisms.
• Identify legal and financial risk indicators through document reviews.
• Track covenant compliance, interest schedules, amortization terms, and prepayment conditions.
• Stay up to date with regulatory changes and credit market trends affecting legal documentation.

3. Stakeholder Collaboration

• Act as a subject matter expert (SME) for cross-functional teams, including Legal, Product, Investment, and Operations.
• Translate complex legal documents into clear, actionable insights for decision-makers.

4. Process Optimization & Automation

• Identify opportunities to streamline document review and data extraction workflows.
• Contribute to the development of standardized legal data taxonomies and templates.
• Collaborate with tech teams to enhance document parsing tools and create scalable legal data solutions.

5. Mentorship & Leadership

• Train and mentor junior analysts on best practices in legal interpretation and data extraction.
• Lead document reviews for high-value, high-risk, or complex transactions.

Eligibility

• Bachelor’s degree in Law or an equivalent legal/financial qualification.
• Minimum 3+ years of experience in credit documentation, legal analysis, or private credit.
• Strong knowledge of:
• Private credit structures
• Credit agreements and term sheets
• Debt instruments and covenant analysis
• Legal and financial terminology
• Excellent analytical and documentation skills with a high level of attention to detail.
• Familiarity with document management systems and data tools.
• Experience working collaboratively across legal, investment, and technical teams.
• Willingness to work in rotational shifts is mandatory.
