Details of the Job/Internship
Versuni is hiring a Legal Analyst to manage corporate legal and secretarial functions end-to-end. The role involves contract drafting and negotiation, compliance management, secretarial filings, litigation coordination, and advisory support across labour, privacy, and data protection laws.
Role and Responsibilities
Legal & Compliance:
- Draft, vet, and negotiate contracts including Sales Agreements, Service Agreements, Distribution Agreements, NDAs, MoUs, and Letters of Intent.
- Update and maintain contract management tools.
- Coordinate litigation with external lawyers and internal stakeholders; assist Head Legal in strategizing and drafting petitions/responses.
- Conduct legal research, monitor statutory updates, and advise business teams on compliance.
- Ensure compliance under Legal Metrology laws, ASCI guidelines, labour laws, IT & Data Privacy laws, and POSH regulations.
- Conduct Code of Conduct and POSH training sessions.
- Negotiate and execute real estate contracts.
Secretarial Functions:
- Draft notices, agendas, resolutions, and minutes for Board, committee, and shareholder meetings.
- File statutory forms with ROC, MCA, and other authorities; manage share transfers and corporate actions.
- Coordinate with RTA, NSDL, CDSL, secretarial auditors, scrutinizers, and other PCS/agents.
- Ensure compliance under Companies Act, 2013, and other corporate secretarial laws.
- Oversee formation and compliance of Trusts, change of trustees, and registrations.
- Lead CSR projects and report to the relevant committee.
- Prepare presentations for Board and shareholder meetings and organize meeting logistics.
Other Responsibilities:
- Release POs and manage payments to vendors, external lawyers, and agents.
- Assist in physical execution of agreements.
Eligibility
- Qualified Company Secretary (CS) and LLB.
- 7–8 years of experience in secretarial affairs, preferably within a listed company.
Salary/Stipend
