Details of the Job/Internship
Yield Engineering Systems, Inc. is hiring for the position of Legal Analyst with 5-6 years of experience to join their office in Bnegaluru.
Role and Responsibilities
- Draft, review, negotiate, and finalize a wide range of commercial and legal documents including NDAs, CDAs, MOUs, vendor agreements, variation agreements, customer and distribution contracts, collaboration agreements, Master Service Agreements (MSAs), Statements of Work (SOWs), indemnity clauses, integrity pacts, RFPs, tenders, bonds, bank guarantees, and software agreements.
- Maintain and manage the legal docket (workflow tracking), ensuring up-to-date statistics, and upkeep of trademark and patent trackers.
- Prepare and maintain Management Information Systems (MIS) for day-to-day legal operations.
- Collaborate with internal departments (sales, procurement, HR, finance, etc.) to align contractual terms with business goals.
- Ensure compliance with applicable Indian laws and relevant international legal standards.
- Manage the contract lifecycle through a centralized system—tracking renewals, compliance requirements, and proper archival of signed agreements.
- Support audits, legal due diligence, and risk assessment activities related to contracts and business operations.
- Offer strategic legal guidance and risk analysis related to business decisions and contractual obligations.
- Keep abreast of developments in contract law, regulatory changes, and their business impact—recommending actionable implementation strategies.
- Assist in ensuring compliance with the Companies Act, 2013, and coordinate with external consultants for monitoring legal calendars and maintaining statutory documentation.
- Provide day-to-day legal and compliance support to the Head of Legal & Compliance, including assistance on various strategic legal projects and ad-hoc matters.
- Help optimize legal operations and regional process workflows to increase efficiency and effectiveness.
- Deliver high-quality work within defined timelines, maintaining well-organized documentation in both digital and physical formats.
- Monitor and manage the company’s intellectual property portfolio—handling filings, renewals, oppositions, and enforcement actions for trademarks and patents.
Eligibility
- Bachelor’s degree in Law (LL.B) or equivalent from a recognized institution; CS qualification is a plus.
- 5–6 years of relevant experience in corporate legal roles, ideally within technology companies, startups, MNCs, or law firms advising corporate clients.
- Strong knowledge of Indian corporate law, global contract laws, intellectual property rights, and data privacy regulations (such as GDPR and DPDP).
- Demonstrated expertise in legal drafting, negotiation, and managing high-stakes commercial transactions.
- Detail-oriented with strong analytical, organizational, and multitasking abilities.
- Proficiency in Microsoft Office, contract management software (e.g., Ironclad, DocuSign CLM), and legal research platforms.
- Proactive and business-focused, capable of working independently with minimal supervision.
