Details of the Job/Internship
OmniActive Health Technologies is hiring a Legal and Company Secretary with experience of 6–10 years to join their office in Mumbai.
Role and Responsibilities
- Develop and implement legal, secretarial, and compliance processes and policies in line with statutory requirements.
- Manage corporate secretarial and legal matters including corporate governance, fund raising through private equity preferential issue, shareholder communication, secretarial audit, due diligence, mergers and acquisitions.
- Draft and vet commercial contracts, property contracts, trade marks, and litigations.
- Provide legal support in new business initiatives and changing business dynamics.
- Ensure compliance with legal and statutory requirements including RBI/SEBI regulations.
- Liaise with regulatory bodies like the Registrar of Companies, National Company Law Tribunal, and other government agencies.
- Act as custodian of statutory documents and nodal point of contact for regulators.
- Establish compliance certification mechanisms.
- Plan and conduct meetings of the board, committees, and shareholders.
Eligibility
- Qualified Company Secretary and Member from the Institute of Company Secretaries of India.
- L.L.B. from a premier institute.
- 6–10 years of relevant experience.
