Details of the Job/Internship
San Miguel Corporation is hiring a Legal Assistant with experience of 2 years to join their office in the Philippines.
Role and Responsibilities
Legal Assistant Work
- Corporate File Maintenance: Organizing and maintaining various corporate files for the assigned companies.
- Transmittal and Correspondence Preparation: Drafting transmittal letters and email correspondence for review by the handling lawyer for the assigned companies.
- Document Routing Coordination: Facilitating and coordinating the routing of various documents (Minutes of Meetings, Delegation Letters, Special Powers of Attorney, Certifications, etc.) to Board members, officers, and authorized signatories of the assigned companies.
- Phone and Schedule Management: Answering phone calls for lawyers, relaying messages, and coordinating the schedule of meetings.
Corporate Secretarial Work for the Assigned Companies
- Drafting Meeting Minutes: Preparing draft minutes of Board and Stockholders’ Meetings for review by the handling lawyer.
- Stock and Transfer Book Updates: Updating the Stock and Transfer Books and preparing Stock Certificates for review by the handling lawyer.
- Drafting Legal Documents: Preparing draft Secretary’s Certificates, Delegation Letters, and Special Powers of Attorney for various corporate transactions, litigation, and applications for permits with government agencies, for review by the handling lawyer.
- SEC Filings: Filing documents with the Securities and Exchange Commission (SEC) for the Assigned Companies.
- Report and Application Preparation: Preparing drafts of reports and applications for submission to the SEC, for review by the handling lawyer.
- · Online SEC Filing: Filing documents with the SEC through the online submission system
Eligibility
- Educational Background: Bachelor’s degree in Legal Management, Law, or a related field.
- Experience: At least 2 years of experience in a legal or corporate secretarial role.
- Skills:
- Strong organizational and file management skills.
- Excellent written and verbal communication skills.
- Proficiency in drafting legal documents and correspondence.
- Familiarity with SEC filing procedures and online submission systems.
Salary/Stipend
