Details of the Job/Internship
Corporate Professionals is hiring a talented and dedicated Legal Associate to join our legal team at Corporate Professionals (CP). As an Associate, you will be a key contributor in providing legal advice, drafting varied types of contracts, managing clients, and conducting negotiations.
Role and Responsibilities
- Provide legal advice to clients on a broad spectrum of transactional matters and allied legal issues, specializing in transaction advisory and commercial agreements, including Debt transactions, SHA/SPA, Joint Venture agreements, and Software agreements.
- Draft a variety of legal documents, such as contracts, agreements (SHA/SPA/SSA/JV Agreements/Loan Agreements/Debt Transaction Agreements/Employment Agreements/Service Agreements/Software Development Agreements), Trust Deeds, opinions, and legal briefs, ensuring accuracy and compliance with legal Conduct negotiations on behalf of clients, ensuring their interests are effectively represented and protected in transactions and agreements.
- Implement a comprehensive contract management system to track contract lifecycle, deadlines, and key milestones.
- Maintain a repository of the contracts, related documents, and correspondence.
- Stay up-to-date with legal industry trends, developments, and changes in laws related to transaction advisory, commercial agreements, and relevant sectors.
- Possess in-depth knowledge of corporate laws, including Companies Law and SEBI Laws, ensuring legal documents comply with regulatory requirements.
- Drafting informative and relevant legal content such as write-ups, articles, posts, transaction alerts, etc., on behalf of the organization.
Eligibility
- Bachelor's/PG degree in law
- Minimum of 3-5 years experience in transaction advisory and drafting of commercial agreements, including but not limited to SHA/SPA/SSA/JV Agreements/ Debt Transaction Agreements/ Employment Agreements/Service Agreements/Software Development Agreements.
- Strong drafting and verbal communication skills.
- Excellent attention to detail and the ability to produce accurate and error-free content.
- Expertise in transactional and contractual terminology and concepts.
- Ability to work collaboratively in a team environment and meet deadlines.
