Details of the Job/Internship
They are looking for a Legal Associate to join our legal and compliance team. They handle large transactions and are looking for someone with working experience in US securities law (investment act) to support Their legal operations including fund operations, documentation for our business partners, and misc legal support, etc.
Role and Responsibilities
- Lead the legal side of executing equity transactions: including setting up investment vehicles; reviewing and completing legal documents (subscription agreements, SPAs, etc) for investments; legal due diligence on investments (including on docs, partners, and target companies); post-closing work including completing relevant filings (form Ds, From ADVs etc).
- New entity set up: support in setting up of new investing entities in the US (eg: series LLC structures) and other jurisdictions.
- Regulatory filings: assist in completion of annual and ad hoc regulatory filings for SPVs as well as funds of funds structures.
- Tax compliance: Being able to coordinate with relevant tax counsel and support to ensure compliance with all securities related filings.
- New products: research legal and compliance framework for new securities related products.
- Corporate legal: draft and review partnership agreements, employment contracts, NDAs, and a range of other ad hoc legal work.
- Assisting with US compliance of non-US funds investing in US securities.
Eligibility
- Strong academic credentials.
- Exceptional communication capabilities.
- Proficiency in managing multiple projects concurrently.
- Expertise in US Securities and funds law specifically the Investment Company Act.
- Familiarity with evolving sectors such as VC and PE
- You are a self-starter, organized, flexible, able to create new processes and procedures, able to evangelize processes and procedures across multiple departments, and able to lead small teams.
- Working experience in a venture fund would be a huge advantage.
- Experience in FINRA broker-dealer regulation would be a huge plus.
- A minimum 2.5 years of legal experience.
Salary/Stipend
