Details of the Job/Internship

Anicut Capital is hiring a Legal Associate with 1–5 years of experience to join their in-house legal team in Chennai. The role involves supporting the fund across the full investment lifecycle in equity and debt transactions, while managing portfolio governance and internal compliance.

Role and Responsibilities

Transaction Execution

• Support end-to-end execution of primary and secondary investments, exits and IPOs.
• Review and negotiate transaction documents including SHA, SSA and SPAs, and coordinate with external counsel.
• Assist in structuring and executing debt instruments including NCDs and CCDs, and review debenture trust deeds, security documents and regulatory filings.
• Analyze due diligence reports and identify legal risks with mitigation strategies.

Portfolio Legal Support

• Coordinate with portfolio companies on regulatory compliance and corporate governance.
• Draft and manage board and shareholder consents, quorum waivers, proxy forms and director documentation.
• Advise on ESOP structuring, founder exits, acquisitions and strategic business contracts.

Internal Legal and Compliance

• Draft and review NDAs, employment contracts, vendor agreements and internal policies.
• Manage internal governance frameworks, compliance calendars and regulatory filings.
• Conduct legal trainings and support internal audits and regulatory inquiries.

Law Firm and Stakeholder Coordination

• Manage relationships with external counsel and advisors.
• Ensure timely and cost-effective legal support across transactions and compliance matters.

Eligibility

• BA LL.B. from a reputed law school.
• Post-qualification experience of 1–5 years.
• Skills in transaction structuring, contract negotiation, legal due diligence and regulatory advisory.
• Strategic thinking, attention to detail, stakeholder management and process orientation.

Salary/Stipend
