Details of the Job/Internship

Artha Group is hiring a Legal Associate with 4+ years of experience to join their office in Mumbai. 

Role and Responsibilities

1. Investment Agreements & Legal Structuring

• Review, negotiate, and finalize key investment documents: Shareholders’ Agreements (SHAs), Share Subscription Agreements (SSAs), Convertible Notes, etc.
• Ensure Artha’s investor rights, exit mechanisms, and veto protections are comprehensively secured.
• Collaborate with the investment team to structure deals in compliance with legal and regulatory frameworks.
• Liaise with external legal counsel on complex structuring, governance, and enforcement matters.

2. Contract Drafting & Negotiation

• Draft and review service-level agreements, vendor contracts, and commercial terms.
• Negotiate legal documents to reflect Artha’s business interests while minimizing legal exposure.
• Conduct contract-level due diligence to identify and mitigate potential risks.

3. Legal Governance & Risk Mitigation

• Maintain and update legal trackers for all matters, including regulatory filings and compliance obligations.
• Coordinate with litigation teams for structured follow-ups (no court appearances required).
• Provide internal legal guidance on corporate governance, fund operations, and investor compliance.

4. High-Stakes Decision Support

• Act as the legal gatekeeper in time-sensitive negotiations, escalating only critical matters to the Founder and leadership team.
• Operate with speed, structure, and clarity to ensure timely deal closures without compromising legal standards.

Eligibility

• LL.B or LL.M from a recognized law school.
• Bar-qualified to practice law in India.
• Minimum 4 years of experience in venture capital, private equity, or corporate finance law.
• Strong command over investment transactions (e.g., SHAs, SSAs, convertible notes, rights enforcement).
• Proven proficiency in contract negotiation, regulatory compliance, and transaction structuring.
• Exceptional business writing and legal drafting skills.
• Highly organized, outcome-oriented, and a strong team collaborator.

Salary/Stipend

₹21,00,000 per annum (₹18L Fixed + ₹3L Retention Bonus)
