Details of the Job/Internship

Artha Group is hiring a Legal Associate with 4+ years of corporate finance and venture capital experience.

Role and Responsibilities

• Review, negotiate, and finalize SHAs, SSAs, and other investment-related contracts.
• Ensure investor rights and protections are secured in all investment negotiations.
• Collaborate with investment teams to structure transactions in compliance with regulatory frameworks.
• Work with external counsel on complex deal structuring, governance, and rights enforcement.
• Draft, review, and negotiate service-level agreements, commercial contracts, and vendor agreements.
• Conduct legal due diligence to identify business risks and ensure compliance with obligations.
• Maintain trackers for legal matters, filings, and compliance tasks.
• Coordinate with external litigation teams for structured follow-ups (no court appearances).
• Identify and mitigate legal risks in investments, contracts, and fund operations.
• Provide internal legal advisory support to align investment decisions with governance best practices.
• Manage high-pressure timelines, ensuring leadership focuses only on critical legal decisions.
• Act as a trusted legal partner in investment negotiations, ensuring favorable terms for the firm.

Eligibility

• LL.B or LL.M from a recognized law school.
• Bar admission required to practice law in India.
• 4+ years of experience in venture capital, private equity, or corporate finance law.
• Strong expertise in VC transactions including SHAs, SSAs, convertible notes, and investment rights.
• Proficiency in contract negotiation, investment structuring, and regulatory compliance.
• Strong business writing and precise drafting skills.
• Highly structured, detail-oriented, and focused on legal risk management.

Salary/Stipend
