Orios Venture Partners is an Indian Early-Stage Venture Capital firm. Currently investing from our fourth fund, with a focus on tech investments across consumer, B2B, software and hardware for the Indian market. We are 3 partners who lead investments.
Details of the Job/Internship
Orios is looking for an Associate Legal to join them in Mumbai.
Role and Responsibilities
- Drafting, vetting, negotiating and finalizing various documents relating to investment and exit transactions including TS, SHA, SSA and SPA.
- Portfolio entities- Legal due diligence, CP & CS compliance, monitor investor approvals.
- Collaborating with various stakeholders, structuring and documenting all stages of the transaction.
- Conduct legal research and analysis on complex legal issues and provide recommendations on legal strategies.
- Review any litigation matters and liaise with legal consultant, to handle the disputes.
- Drafting and vetting agreements with distributors, referral agents and service providers.
- Perform procedure for the Partner/Board meeting, Committee meeting and Shareholders meeting.
Eligibility
- Top pedigree academics, LLB + CS (Company Secretary).
- Experience: 5 – 8+ years in top tier law firm / Fund Industry. Experience in leading investment and exit transactions.
- Should possess sound knowledge of regulatory laws- SEBI AIF, RBI/ FEMA, Corporate, Securities laws, Contract Act, Arbitration, Stamp Duty, Intellectual Property, Data protection, etc.
- Proven skills to anticipate legal issues or risks. Effectively handles multiple projects or tasks at the same time. Is open to and responds flexibly to change.
- Excellent legal drafting and negotiation skills.
- Collaborative and team-oriented approach to work.
- Excellent communication and interpersonal skills.
- Use market insights to enhance our investor outreach and portfolio exit strategies.
