Details of the Job/Internship
S.B. Jain and Associates is hiring a Legal Associate (currently pursuing CS) to join their corporate legal team.
Role and Responsibilities
- Assist in drafting, preparing, and filing ROC forms and statutory returns under the Companies Act, 2013.
- Support the conduct and documentation of Board Meetings, Committee Meetings, and AGMs.
- Maintain statutory registers, minutes books, and compliance trackers.
- Prepare notices, board resolutions, minutes, and corporate approvals.
- Draft and review agreements, MOUs, shareholder agreements, NDAs, and employment contracts.
- Conduct legal research and prepare opinion notes on corporate law matters.
- Vet and structure corporate documents for regulatory compliance.
- Coordinate with external consultants, regulatory authorities, and internal teams for compliance tasks.
- Liaise with ROC, MCA, and other statutory bodies for filings, clarifications, and approvals.
- Research regulatory developments and support corporate governance and secretarial advisory.
Eligibility
- Currently pursuing Company Secretary (CS) – Executive or Professional level.
- Bachelor’s degree in Law (LLB) or pursuing LLB is an added advantage.
- Strong understanding of the Companies Act, 2013, Secretarial Standards, and ROC procedures.
- Proficiency in legal drafting, communication, and documentation.
- Familiarity with the MCA portal, MS Office, and compliance management tools.
- Strong attention to detail, organisational skills, and ability to meet deadlines.
- Ability to work in a fast-paced professional environment.
