Details of the Job/Internship
Sustainiam is hiring a Legal Executive with experience of 2–3 years to join their office in Noida.
Role and Responsibilities
- Review and negotiate Carbon Credit Purchase and Sale Agreements, Power Purchase Agreements (PPA), and Emission Reductions Purchase Agreements (ERPA).
- Advise on forward credit sales, pricing mechanisms, liability clauses, and risk allocation for sustainability projects.
- Structure carbon project investments, Special Purpose Vehicles (SPVs), and revenue-sharing mechanisms.
- Ensure organizational compliance with international frameworks such as VCS, Gold Standard, CDM, and I-REC.
- Draft and negotiate a wide range of commercial contracts, including NDAs, MOUs, SaaS, and Master Service Agreements (MSA).
- Support fundraising efforts, investor agreements, and overall corporate legal structuring.
- Advise on intellectual property, data protection, and employment law matters.
- Monitor global regulatory developments in carbon finance and environmental law to conduct risk assessments.
- Maintain corporate governance records and liaise with external counsels for dispute resolution or arbitration.
Eligibility
- LL.B. degree from a reputed university.
- 2–3 years of experience in a law firm or a corporate legal department.
- Specific exposure to carbon finance, climate finance, or corporate legal matters.
- Strong understanding of carbon markets and ESG (Environmental, Social, and Governance) regulations.
- Proven experience in contract negotiation, regulatory compliance, and corporate governance.
- Excellent analytical, research, and communication skills.
- Ability to work effectively in a collaborative, fast-paced office environment.
