Virohan is hiring a General Corporate Legal professional with experience of to join their office in Gurugram.
Role and Responsibilities
- Draft, review, negotiate, and manage commercial contracts including NDAs, vendor agreements, MSAs, SLAs, and service agreements.
- Support corporate governance matters such as board meetings, resolutions, minutes, and statutory filings.
- Assist with incorporations, restructurings, and corporate secretarial matters.
- Ensure compliance with applicable laws and regulations including the Companies Act, FEMA, and SEBI, as applicable.
- Coordinate with external counsel and advisors on legal and regulatory matters.
- Track legal and regulatory changes and assess their impact on business operations.
- Support fundraising, mergers and acquisitions, joint ventures, and strategic transactions.
- Conduct legal due diligence and assist in transaction documentation.
- Provide legal advice to business teams on operational and strategic issues.
- Identify legal risks and recommend mitigation strategies.
- Manage litigation and disputes in coordination with external counsel.
- Handle intellectual property matters including trademarks, copyrights, and IP-related contracts.
