Details of the Job/Internship
Maxwell is hiring a Legal Counsel & Secretarial Manager with 6–7 years of experience.
Role and Responsibilities
- Provide timely and accurate legal advice to executives on labour law, partnerships, corporate finance, and international ventures.
- Collaborate with management to design and implement effective legal defense and risk mitigation strategies.
- Draft, review, negotiate, and finalise domestic and international contracts and agreements.
- Research and evaluate legal risks associated with business decisions and operations.
- Ensure compliance with applicable laws, regulations, and internal governance policies.
- Communicate and negotiate with regulators, external counsel, and government authorities.
- Handle contractual disputes, claims, litigations, arbitrations, and legal notices.
- Provide legal clarification and guidance across the organisation.
- Maintain up-to-date knowledge of legislative and regulatory changes.
- Secretarial Responsibilities:
- Manage end-to-end secretarial activities including Board, General, and Committee meetings.
- Ensure pre- and post-meeting compliances, documentation, regulatory filings, and statutory disclosures.
- Draft, analyse, and implement internal policies and codes in line with statutory requirements.
- Ensure compliance with the Companies Act, 2013, Secretarial Standards, SEBI (LODR) Regulations, FEMA, and other applicable laws.
- Handle insider trading compliances and related disclosures.
- Manage M&A-related secretarial work including regulatory approvals, filings, and stakeholder coordination.
- Coordinate statutory, secretarial, tax, internal audits, and regulatory inspections.
- Liaise with regulatory bodies such as the Registrar of Companies, Stock Exchanges, Depositories, RBI, and other authorities.
- Implement compliance software to track and report statutory compliances.
- Legal Responsibilities:
- Draft and negotiate business, procurement, service, tender, indemnity, and cross-border contracts.
- Assist in M&A documentation including SPAs, JV agreements, MOUs, assignment deeds, and indemnities.
- Provide legal advisory, research, and implementation support to the business.
- Manage domestic and international litigations, claims, and arbitrations.
- Independently manage and file intellectual property rights, including patents.
Eligibility
- Bachelor’s degree in Law.
- Qualified Company Secretary.
- 6–7 years of experience as a Legal Counsel and Secretarial Manager.
- Strong knowledge of corporate law, governance, and regulatory frameworks.
- Knowledge of corporate law and procedures for a US-headquartered C-Corp is an added advantage.
