Details of the Job/Internship
Meenakshi Alternates is hiring a Legal & Compliance Manager with 4–6 years of experience to lead investment documentation, compliance, and negotiation processes for its AIF operations.
Role and Responsibilities
- Legal Documentation:
- Lead investment term sheets, legal due diligence, documentation, and compliance for debt and equity transactions.
- Draft and vet agreements with distributors, referral agents, and service providers.
- Negotiate and onboard law firms and third-party service providers.
- Support Operations, Sales, and Investments teams on legal matters.
- Manage litigation or disputes with portfolio companies, counterparties, or investors.
- Maintain organized documentation on the central drive.
- Compliance:
- Ensure adherence to SEBI AIF regulations for the fund, IM, and sponsor entities.
- Develop and monitor internal compliance frameworks, policies, and controls.
- Liaise with SEBI during audits, PPM filings, and updates.
- Support investors in documentation and execution.
- Conduct internal compliance and regulatory training sessions.
- Others:
- Review fund marketing materials for appropriate disclaimers and disclosures.
- Manage investor and distributor documents throughout the fund’s lifecycle.
- Stakeholder Engagement:
- Participate in Investment Committee (IC) meetings and provide legal guidance.
- Draft investor communication documents and IC/Advisory Board minutes.
- Collaborate with Operations, Finance, Sales, and Investments teams for seamless investor servicing.
- Fund Documentation:
- Oversee the preparation and distribution of offering documents, prospectuses, and other investor-related materials.
Eligibility
- 4–6 years of relevant experience with strong understanding of financial markets and stakeholder management.
- Proficiency in Microsoft Office (Excel, Word, PowerPoint).
- Experience across the fund lifecycle — fundraising, deployment, exit, and closure — preferred.
- Excellent communication and negotiation skills.
- Self-starter, team player, and adaptable to a dynamic environment.
- High integrity and strong interpersonal skills.
- Experience in AIF/NBFC and Real Estate sectors preferred.
- Qualification: CS / LLB.
Salary/Stipend
Compensation details will be finalized during the interview process with the selected candidate.
