Details of the Job/Internship

Orios Venture Partners is hiring a Senior – Legal & Compliance professional with experience of 7–10 years to join their office in Mumbai. 

Role and Responsibilities

• Manage and maintain fund documentation, including TD, PPM, IMA, and CA.
• Lead compliance related to SEBI AIF regulations and other applicable regulatory frameworks.
• Track regulatory developments involving SEBI, RBI, and FEMA and assess their impact on fund structures and documentation.
• Handle regulatory filings, compliance reporting, and coordination with regulators and legal advisors.
• Draft, review, and negotiate investment transaction documents, including TS, SSHA, SSA, and SPA.
• Conduct legal and compliance due diligence for portfolio investments.
• Support investor communications and legal aspects of portfolio transactions.
• Manage agreements with partners, distributors, advisors, and service providers.
• Handle governance processes, including board, committee, and shareholder meetings.

Eligibility

• LLB is mandatory, and CS qualification is preferred.
• 7–10 years of professional experience, with at least 3+ years working on AIF or SEBI regulatory compliance.
• Strong understanding of SEBI AIF regulations, FEMA, and corporate and securities laws.
• Experience handling investment transaction documentation in a VC, PE, or financial services environment is advantageous.
• Strong analytical ability, attention to detail, and the ability to work in a fast-paced environment.
