Details of the Job/Internship

Softdel is looking for an experienced and detail-oriented professional to join their team as Manager – Compliance, Legal & Taxation. The role requires strong expertise in statutory compliance, corporate governance, legal advisory, and taxation, with the ability to guide business leaders in a dynamic IT/Tech environment.

Role and Responsibilities

• Ensure compliance with Companies Act, SEBI, FEMA, RBI and other statutory regulations.
• Manage Board & General Meetings including drafting of agendas, notices, minutes, and resolutions.
• Handle statutory filings/returns with ROC and other authorities.
• Advise management & the Board on corporate governance and legal risks.
• Draft, review, and negotiate contracts, agreements, and legal documents.
• Oversee taxation compliance (direct & indirect) in coordination with finance teams and external consultants.
• Liaise with auditors, regulators, and external legal advisors.
• Manage compliance and secretarial audits; maintain statutory registers/records.
• Provide legal support on IP, employment laws, vendor contracts, and IT regulations.
• Support M&A, due diligence, and corporate restructuring initiatives.

Eligibility

• Educational Qualification: CS + LLB/LLM (mandatory).
• Experience: 15+ years in Legal, Compliance, and Taxation (preferably in IT services/products sector).
• Strong knowledge of corporate laws, compliance frameworks, and taxation.
• Proven expertise in corporate governance, stakeholder management, and regulatory dealings.
• Excellent drafting, communication, and negotiation skills.

Salary/Stipend

Compensation details will be finalized during the interview process with the selected candidate.
