Details of the Job/Internship

Zeno Health is hiring a Legal Compliance Manager to join their office in Mumbai.

Role and Responsibilities

• Preparation of notices, agenda, notes on agenda, backup documents, minutes, registers, and other statutory records.
• Convening board and general meetings.
• Filing applicable forms with RoC and RBI in relation to FDI.
• Ensuring compliance with applicable laws, including Schedule 8 of the SHA.
• Submitting monthly compliance reports on statutory compliances, shareholder agreements, lending documents, legal contracts, and SOPs.
• Timely monthly/quarterly/annual and event-based reporting to investors.
• Tracking board meeting actions and follow-ups.
• Seeking waiver/consent/NOC from investors/lenders.
• Ensuring SOPs/policies are in place and followed.
• Setting up a compliance management system.
• Coordinating with RoC, RBI, NSDL, DP, financial controller, legal consultants, internal auditor, statutory auditor, promoters, directors, and investors.
• Leading legal due diligence including setting up of data room.
• Assisting with filings under employment and labour laws.
• Ensuring compliance with obligations under shareholder agreements.
• Drafting investor consents, letters, intimations, and reports under shareholder agreements.
• Reviewing commercial arrangements, agreements, financing agreements, MOUs, term sheets, and other business documentation.
• Ensuring compliance with franchisee agreements by franchisees.

Eligibility

• Knowledge of Companies Act and other laws.
• Interest in research and analysis of legal compliances under various corporate laws.
• Good understanding of corporate laws including Companies Act, 2013 and its rules, SEBI regulations, FEMA etc.
• Ability to keep track of changing laws.
• Good communication and interpersonal skills.
• Strong drafting skills and proficiency in working with Excel.
• Enthusiastic and self-motivated.
• Basic computer skills.

Salary/Stipend
