Details of the Job/Internship
Ensemble Infrastructure India Ltd is hiring a Company Secretary & Compliance Officer with 7+ years of experience to oversee compliance and corporate governance functions.
Role and Responsibilities
- Compliance Management:
- Monitor and ensure compliance with applicable laws and regulations.
- Develop and implement compliance frameworks and procedures.
- Conduct compliance audits and assessments.
- Corporate Governance:
- Advise the board on governance best practices.
- Prepare materials for board and committee meetings.
- Assist in developing corporate policies and procedures.
- Company Secretarial Functions:
- Ensure timely statutory filings and regulatory compliance.
- Maintain corporate records, minutes, and resolutions.
- Facilitate communication between board, management, and shareholders.
- Risk Management:
- Identify and assess legal and compliance risks.
- Develop and implement mitigation strategies.
- Collaborate with departments to manage risks effectively.
- Training and Awareness:
- Conduct compliance training sessions.
- Update teams on regulatory changes and requirements.
Eligibility
- Certified Company Secretary.
- Minimum 7+ years of post-qualification experience.
- Strong knowledge of corporate governance, M&A corporate actions, investor servicing, AGMs/EGMs, postal ballots, and insider trading regulations.
- Strong stakeholder management and leadership skills.
