Details of the Job/Internship
Decimal Point Analytics is hiring a Legal, Compliance & Secretarial Manager with 3–5 years of experience to join its Mumbai or Nashik office.
Role and Responsibilities
- A. Legal Support
- Draft, review, and format standard agreements including NDAs, service agreements, MoUs, and inter-company documents.
- Maintain a repository of executed contracts and legal documents.
- Track contract expiries, renewals, and compliance obligations.
- Coordinate notarization, stamping, and registration of legal documents.
- Conduct legal research under relevant laws and regulations.
- B. Compliance
- Maintain compliance trackers for company law, FEMA, RBI, DPDP, MSME, etc.
- Support periodic filings on MCA, RBI, DGFT, and MSME portals.
- Coordinate internal and statutory audits and respond to audit queries.
- Assist in implementing and monitoring compliance policies.
- Track and manage renewal of licenses and registrations.
- C. Secretarial & Board Support
- Assist in organizing Board and Committee meetings, drafting agendas, and preparing minutes.
- Maintain statutory registers, share certificates, and corporate records.
- Prepare and file ROC forms (DIR-12, PAS-3, MGT-7, AOC-4, etc.) under supervision.
- Coordinate shareholder communication, dividend processing, and filing of resolutions.
- Draft annual reports, Board Notes, and circular resolutions.
- D. Documentation & Governance
- Maintain organized folders for legal, compliance, and statutory records.
- Support digitization, e-signature, and record retention initiatives.
- Track approvals and maintain registers for contracts, related party transactions, and guarantees.
Eligibility
- Graduate in Law (LLB); CS qualification preferred.
- 3–5 years of experience in legal, compliance, or company secretarial support roles.
- Working knowledge of Companies Act, FEMA, and related corporate filings.
- Proficiency in drafting legal and board documents.
- Exposure to DPDP or data privacy compliance preferred.
- Strong communication, coordination, and documentation skills.
- Proficiency in MS Office, Google Workspace, and document management tools.
