Details of the Job/Internship

Kodo is hiring for the position of Legal & Compliance with 2+ years of experience to join their office in Mumbai Metropolitan Region.

Role and Responsibilities

Regulatory Compliance & Governance

• Ensure full compliance with Companies Act, RBI regulations, AML/CFT norms, and other applicable laws.
• Monitor regulatory changes and ensure timely implementation of new requirements.
• Liaise with RBI, auditors, and other regulatory bodies.
• Maintain statutory registers, filings, and records in line with legal requirements.

Corporate Governance & Secretarial Duties

• Organize and manage board/committee meetings — agendas, minutes, resolutions.
• Facilitate shareholder communications and AGMs.
• Advise the board on governance best practices.

Contracts & Risk Management

• Draft, vet, and negotiate commercial agreements across business units.
• Ensure all contracts safeguard company interests and comply with laws and policies.
• Identify legal and compliance risks, recommending mitigation strategies.

NBFC-Specific Compliance

• Develop and enforce NBFC-specific compliance policies and procedures.
• Conduct regular risk assessments and internal audits.
• Oversee KYC, onboarding, and reporting in line with RBI guidelines.
• Educate teams on compliance requirements and updates.

Eligibility

• CS certification mandatory; LLB preferred.
• 2+ years’ experience in compliance/risk within financial services, preferably fintech/NBFC.
• Strong grasp of RBI regulations, AML/CFT norms, and data protection laws.
• Proven track record in building and managing compliance programs.
• Excellent drafting, analytical, and communication skills.
• Ability to work independently in a fast-paced, high-growth environment.
