Polycab India Limited is hiring for the position of Legal & Corporate Affairs to join their office in Mumbai.
Role and Responsibilities
- Corporate Governance
- Advise management on compliance with corporate laws and regulations applicable to the organization.
- Draft and review board resolutions, committee charters, and corporate policies.
- Ensure adherence to statutory obligations, maintaining corporate records, including minutes of meetings and other relevant documents.
- Commercial Agreements
- Draft, negotiate, and review a wide range of commercial contracts including:
- Service agreements
- Supply and distribution agreements
- Lease Deeds/ Leave and License agreements
- Joint venture and partnership agreements
- License agreements
- Trademark Licensing agreements
- Non-disclosure and confidentiality agreements
- Sale deed/ Agreement for Sale/ Agreement to Sell (Real Estate)
- Banking Consortium
- EPC related contracts
- Land & Real estate matters
- Intellectual Property Rights
- Ensure all contracts are aligned with corporate policies and risk management practices.
- Mergers & Acquisitions
- Support M&A transactions by conducting due diligence, drafting and negotiating purchase agreements, and preparing closing documents.
- Collaborate with financial, tax, and operational teams to assess legal implications and integration strategies.
- Regulatory Compliance
- Stay updated on legal developments and ensure compliance with industry regulations (e.g., competition law, data protection, environmental regulations).
- Provide legal guidance on compliance matters and develop policies that promote compliance throughout the organization.
- Risk Management
- Identify and analyze potential legal risks and provide advice on risk mitigation strategies.
- Work with business leaders to implement effective compliance programs and practices.
- Internal Stakeholder Collaboration
- Partner with internal stakeholders such as finance, HR, operations, and marketing to ensure legal considerations are integrated into business decisions and strategies.
- Provide legal training and resources to employees on relevant issues to foster a culture of compliance.
- Contract Management
- Establish and maintain a centralized contract management system to track agreements, obligations, and key dates.
- Monitor performance and compliance of contracts and provide guidance on potential issues.
- Tools and Apps for contract life cycle management
- Policy Development
- Develop, review, and implement corporate policies and templates, standard operating procedures to reflect legal best practices.
- Prepare legal documentation that can guide the organization in achieving its business goals while minimizing exposure.
- SOPs & Policies to support streamlined review, finalization and execution of Contracts and approvals of deviations
- Stakeholder Communication
- Communicate effectively with external parties, including regulatory authorities, advisors, and consultants to address legal matters as needed.
- Represent the company’s interests in communications with external entities.
