Details of the Job/Internship

Nimesa is hiring a Legal Counsel – Commercial & Corporate Contracts with 3–4 years of experience to join their office in Bengaluru. 

Role and Responsibilities

• Draft, review, and negotiate a wide range of contracts including vendor agreements, SaaS and software licenses, NDAs, and service contracts.
• Provide legal support on corporate governance, board/shareholder resolutions, employment documentation, and IP/data protection issues.
• Ensure compliance with Indian Contract Act, Companies Act, Income Tax Act, labour laws, IP regulations, and industry standards.
• Maintain legal documentation and trackers.
• Coordinate with external counsel when needed.
• Advise internal stakeholders on legal risks and regulatory matters.

Eligibility

• LL.B. from a recognised Indian law school.
• 3–4 years of post-qualification experience at a law firm or in-house legal department.
• Strong knowledge of commercial law, contracts, and corporate compliance.
• Excellent legal drafting and communication skills.
• Ability to work independently and across departments.
• Preferred: Experience in tech/SaaS/startup environments, familiarity with IP transfer, cross-border compliance, Section 281, FEMA, and tax structuring.
