Details of the Job/Internship
Sprinklr is hiring a Legal Counsel – Commercial with experience of 5+ years to join their office in Gurgaon. The role involves supporting a wide range of legal matters across the MEA and APJI regions and working closely with the Associate General Counsel, Commercial.
Role and Responsibilities
- Review, draft, and negotiate company contracts including Non-Disclosure Agreements, SaaS Agreements, Professional Services Agreements, Master Services Agreements, Order Forms, Statements of Work, Data Processing Addendums, Privacy Terms, Artificial Intelligence Terms, Security Frameworks, Requests for Proposals, Statements of Compliance, Proofs of Concept, Codes of Conduct, Regulatory and Policy Documents, Vendor Registration Documents, Partnership Agreements, Product Terms, and Service Level Agreements.
- Advise the business on data protection and privacy matters in collaboration with the Data Privacy Team and other subject matter experts.
- Interpret contractual terms and conditions and advise internal and external stakeholders on contractual obligations and business-friendly strategies to resolve issues.
- Develop and maintain standard templates, forms, playbooks, clause libraries, and processes and assist stakeholders in their adoption.
- Provide training to sales and services teams and other business units when required.
- Provide transactional support and general legal advice to teams across the company on mitigating legal risks in commercial operations.
- Assist with project-based legal work including changes to contracting processes, AI adoption, and quote-to-cash processes.
- Build strong relationships with legal team members and business stakeholders and act as a trusted advisor to internal clients.
Eligibility
- Bachelor’s or Master’s degree in Law from an Indian or Middle East law school or university.
- 5+ years of experience as a corporate attorney providing legal advice and negotiating agreements in a software, technology, or public listed environment, or at a law firm providing similar services.
- Expertise in Indian and/or Middle East laws and regulations, commercial law, and contract law.
- Experience working with sales teams in customer negotiations and contracting.
- Understanding of software contract requirements and strong experience in negotiating SaaS agreements.
- Strong written and verbal communication skills and the ability to explain legal concepts to business teams.
- Ability to work independently, manage competing priorities, and meet deadlines.
