Details of the Job/Internship

FraX is hiring a Legal Counsel & Company Secretary with 4–8 years of experience to join their on-site team in Gurgaon.

Role and Responsibilities

• Act as Company Secretary for the company and its group entities.
• Ensure compliance with the Companies Act, 2013 and other applicable laws.
• Manage Board and shareholder meetings, including notices, agendas, resolutions, and minutes.
• Handle all MCA and RoC compliances, filings, statutory registers, and corporate records.
• Advise on legal and regulatory matters relevant to a fintech-style real estate investment platform.
• Support licensing and registration processes with SEBI, RERA, stock exchanges, or depositories, as required.
• Monitor regulatory changes in securities, fintech, data protection, and KYC/AML, and implement updates.
• Draft, review, and negotiate investor-facing documents, property-related agreements, and commercial contracts.
• Standardise contract templates and establish a contract tracking system.
• Identify legal and contractual risks and recommend mitigation measures.
• Support handling of investor complaints, disputes, notices, and escalation matters.

Eligibility

• Qualified Company Secretary (CS) with an LLB or degree in Law.
• 4–8 years of experience in legal, secretarial, and compliance roles.
• Strong knowledge of corporate law, governance, and commercial contracts.
• Experience in real estate, financial services, fintech, or investment platforms preferred.
• Ability to work independently and directly with founders or senior leadership.
• Bachelor’s degree and willingness to commute to the Gurgaon location.

Salary/Stipend
