Details of the Job/Internship
Enfinity Global is hiring a Legal Counsel (Corporate) with experience of 10 years to join their office in Italy.
- Mode: Hybrid.
Role and Responsibilities
Corporate Legal Strategy:
- Develop and implement corporate legal strategies to support business objectives in the renewable energy sector.
- Guide on legal implications and risks associated with corporate initiatives.
Contract Negotiation and Drafting:
- Negotiate, draft, and review a variety of corporate contracts, including but not limited to development agreements, joint ventures, partnerships, and commercial agreements.
- Support the development activities of the company by providing support to the technical departments
- Ensure contracts align with legal and regulatory requirements and protect the company's interests.
- Real estate: drafting and negotiation of exclusivity, preliminary and definitive notarial agreement for the acquisition of lands for the development of renewable energy plants;
- Liaising with external law firms, notaries, and other professional entities to monitor the workflow and facilitate various project-related processes, such as authorization procedures, legal verification of documents and filing.
Compliance and Risk Management:
- Stay abreast of changes in laws and regulations affecting the renewable energy industry.
- Advise on compliance issues and implement risk management strategies.
Mergers and Acquisitions:
- Support M&A/JV/financing transactions from the development side through analysis, negotiation and drafting of legal notes, contracts, and related ancillary documents.
- Support the dedicated team in the whole process of M&A acquisition also in the context of competitive processes.
Stakeholder Communication:
- Collaborate with internal stakeholders to provide legal advice and support on corporate matters.
- Interacting with the other teams (Business Development team, Engineers, Accounting) daily with the legal aspects or implications of the projects they manage.
- Supporting the Legal Department in carrying out their daily activities, scheduling, and keeping track of deadlines and priorities.
Eligibility
- Law (JD) degree and active license to practice law.
- At least 10 years of experience as a corporate lawyer (in-house or in structured law firms), with a focus on the renewable energy industry.
- Strong understanding of energy regulations, civil and commercial law, project finance, and environmental law.
- Excellent negotiation, communication, and interpersonal skills.
- Ability to work independently and collaboratively in a dynamic environment.
