Details of the Job/Internship
BCE Global Tech is hiring a Legal Counsel I to support corporate governance, statutory compliance, and legal advisory functions in Bengaluru. The role involves assisting the Company Secretary & Legal Counsel in ensuring compliance with Indian laws, corporate governance standards, and regulatory requirements.
Role and Responsibilities
- Support corporate governance initiatives and ensure adherence to ethical business conduct.
- Monitor compliance with global governance standards and assist in training programs.
- Assist in regulatory reporting and liaise with government authorities when required.
- Draft, review, and negotiate service agreements, vendor contracts, and NDAs.
- Support compliance with Indian laws and data protection regulations, including the IT Act, 2000 and the Digital Personal Data Protection Act, 2023.
- Assist in labour law compliance, employment agreements, workplace policies, grievance handling, and POSH Act compliance.
- Support due diligence, fundraising, and legal advisory matters.
- Assist in resolving legal disputes and responding to government inquiries.
- Draft and implement corporate policies and governance frameworks.
- Manage corporate secretarial functions, including director liabilities, inter-company agreements, and statutory filings under the Companies Act, 2013.
- Maintain statutory registers and prepare notices, agendas, resolutions, and minutes for Board, General, and Committee meetings.
- Ensure compliance with FDI and FEMA regulations.
Eligibility
- LLB graduate.
- 3–5 years of experience in a corporate secretarial, compliance, or legal role.
- Experience with FDI, FEMA regulations, and corporate governance frameworks is an advantage.
- Strong understanding of Indian corporate laws and regulatory frameworks.
- Excellent drafting, legal research, and communication skills.
