Details of the Job/Internship
Xpertiz Systems Private Limited is hiring a Legal Counsel – M&A with 3–4 years of experience to join their office in Bengaluru. The role involves providing legal support for deal structuring, transaction documentation, due diligence, and regulatory compliance.
Role and Responsibilities
- Draft, review, and negotiate transaction documents including Share Purchase Agreements, Shareholders’ Agreements, Term Sheets, and NDAs.
- Conduct legal due diligence for M&A and investment transactions.
- Liaise with internal teams, financial advisors, and external counsels to ensure smooth transaction execution.
- Advise on regulatory and compliance matters under the Companies Act, FEMA, SEBI, and related corporate laws.
- Support investment banking mandates with structuring and documentation.
- Maintain legal records, ensure adherence to timelines, and mitigate transaction risks.
Eligibility
- LLB from a reputed law school (LLM preferred but not mandatory).
- 3–4 years of post-qualification experience in corporate law, M&A, or investment banking transactions.
- Prior experience with law firms or investment banking firms is an advantage.
- Strong drafting, negotiation, and analytical skills.
- Sound understanding of corporate, securities, and foreign exchange regulations.
- Excellent communication and stakeholder management skills.
