Details of the Job/Internship
Quess Corp Limited is hiring for the position of Legal Counsel- Real Estate & AIF Funds with 5-12 years of experience to join their office in Mumbai.
Role and Responsibilities
- Fund Structuring & Regulatory Compliance
- Advise on legal structuring of Category II and III AIFs, including drafting key fund documents (PPM, trust deeds, contribution/shareholder agreements).
- Ensure end-to-end compliance with SEBI AIF Regulations, Companies Act, FEMA, and other relevant regulatory frameworks.
- Liaise with SEBI and other authorities for registrations, filings, clarifications, and regulatory updates.
- Real Estate Transactions
- Conduct comprehensive legal due diligence for property acquisitions, dispositions, and development.
- Draft, review, and negotiate lease deeds, sale agreements, joint development agreements, and investment term sheets.
- Ensure clear title verification and adherence to local land and property laws.
- Investor & Stakeholder Management
- Review investor agreements and disclosures to ensure accuracy, legal protection, and transparency.
- Address investor queries and support capital raising efforts from a legal perspective.
- Contribute to investor communication strategies with compliant and precise legal input.
- Risk & Litigation Management
- Identify legal risks related to fund operations, asset management, and real estate transactions.
- Coordinate with external counsel to manage disputes, litigation, or arbitration effectively.
- Develop risk mitigation strategies aligned with business goals and regulatory expectations.
- Documentation & Governance
- Maintain complete and organized legal records for fund structures and asset operations.
- Provide legal support for board, trustee, and investment committee meetings—including preparation of minutes, resolutions, and compliance updates.
- Support governance processes for trusts, SPVs, and fund-related entities.
Eligibility
- LLB/LLM with strong academic credentials; additional certifications like CS or CFA are a plus.
- 5–12 years of experience in real estate law, AIF structuring, fund lifecycle management, and regulatory compliance.
- Deep understanding of SEBI AIF Regulations, FEMA, Companies Act, and real estate laws.
- Strong contract drafting, negotiation, and legal risk assessment skills.
- Proven ability to manage complex multi-party transactions and regulatory interactions.
- Excellent communication, stakeholder management, and analytical abilities.
