Details of the Job/Internship
Airswift is hiring Legal Counsel with the experience of 7 years to join their office in Singapore.
Role and Responsibilities
- Draft, review and negotiate project documents, such as frame agreements, EPC contracts, service contracts and supply chain contracts, with key subcontractors, which would include (without limitation), shipyards, topside fabrication contractors and EPC contractors.
- Coordinate the interface and allocation of responsibilities between the supply chain department and Legal department.
- Draft, review and negotiate corporate M&A documents, such as share purchase agreements, joint venture agreements, shareholders agreements and memorandum of agreements etc. for projects development.
- To be responsible for and oversee the work of external legal counsels.
- To work with various departments such as finance, company secretary, tax and/or project teams to ensure that the legal aspects of a project transaction are in line with the general objectives of the company and the requirements as set out in the client contracts.
- Draft, review and finalise board resolutions and papers for project documents and execution.
- Review and negotiate confidentiality agreements/NDAs with counterparties.
- To undertake general in-house legal work and provide legal support to all departments or disciplines within the company when necessary and required.
Eligibility
- Candidate must possess LL.B honors degree from a reputable university.
- Professionally qualified in a common law jurisdiction.
- In depth knowledge of offshore industry, EPC contracts and/or projects documentation.
- Downstream experience may also be considered.
- Experience from a reputable law firm (preferably) and/or in-house legal department within the offshore or shipping industry.
- Minimum 7 years' PQE.
- Experience in cross border and international project transactions and management.
- Be a strong communicator and possess a commercially savvy approach to legal matters.
- Transaction execution is an important part of this role and the ability to manage projects, multi-task and prioritize competing demands are essential attributes.
- Strong cross-cultural communication skills.
- Excellent teamwork skills to partner and work together with the other relevant stakeholders in project management and execution.
