They have received the in-principal approval from SEBI to launch a mutual fund in August 2024 and are actively working to launch the mutual fund.
Details of the Job/Internship
Capitalmind is hiring for the position of Legal Counsel with experience of 5+ years to join their Bengaluru office.
Role and Responsibilities
Legal and Regulatory Compliance:
- Ensure adherence to SEBI guidelines on Risk Management Framework (RMF).
- Formulate, implement, and ensure adherence to the Legal & Tax Risk Policy.
- Draft and review Mutual Fund scheme documents (SIDs, KIMs, SAIs).
- Conduct legal research and maintain documentation.
- Assist with legal and regulatory due diligence.
2. Contract Management:
- Draft and review legal agreements and contracts.
- Review material agreements for the AMC and Trustee Company.
- Maintain a centralized register of all legal agreements.
- Ensure proper execution and archival of legal documents.
3. Risk Management (Legal):
- Provide inputs to define risk thresholds and appetite for Legal risks.
- Review and ensure risk levels align with approved thresholds and metrics.
- Identify, analyze, and report early warning signals, emerging risks, and major findings.
- Formulate, review, and update the RCSA for identified Compliance and legal risks and controls.
- Perform and report outcomes of periodic testing of the RCSA.
4. Litigation and Dispute Resolution:
- Manage legal risks and disputes.
- Handle legal notices and lead litigation workstreams.
- Correspond with external legal counsel.
- Handle employment contract-related disputes.
5. Governance and Reporting (Legal):
- Provide relevant information for monthly/quarterly risk reporting to Committees.
- Ensure timely and accurate submissions to Boards of AMC and Trustee.
- Collaborate with internal teams and external legal counsel.
- Ensure adherence to the Delegation of Power (DoP) framework.
6. Special Projects and Support:
- Assist with legal and regulatory due diligence.
- Support funding and transactional activities.
- Provide support for special projects as needed.
Eligibility
- Bachelor’s degree in law from a reputed institution or a National Law School.
- 5+ years of relevant legal experience working with a reputed law firm in corporate laws, securities laws, and fund formation.
