Embark is hiring a Legal Counsel with experience of 3–4 years to join their office in Bengaluru. The role focuses on contract drafting, review, negotiation, risk management, and contract lifecycle management, while supporting business teams with legal advisory and ensuring alignment with business objectives.
Role and Responsibilities
- Draft, review, and negotiate engagement letters, memorandums of understanding (MoUs), master service agreements (MSAs), statements of work (SOWs), service level agreements (SLAs), addendums and amendments, lease deeds, letters of intent (LOI), and leave and license agreements.
- Ensure legal enforceability and alignment with business objectives.
- Handle vendor and non-IT agreements.
- Lead contract negotiations with clients, vendors, and partners.
- Identify legal and commercial risks and propose mitigation strategies.
- Support business teams with contract structuring and advisory.
- Maintain contract templates and standard clauses.
- Track contract renewals, amendments, and compliance obligations.
- Coordinate with external counsel when required.
- Work with contract lifecycle management tools such as DocuSign CLM, Ironclad, Icertis, Agiloft, and tools like Microsoft Excel and SharePoint for contract tracking.
Eligibility
LL.B./LL.M. from a recognised university with 3–4 years of experience in commercial contract drafting and negotiations; experience in a corporate environment or consulting platform preferred.
