Details of the Job/Internship
GEDU is seeking a seasoned Legal Counsel for their Noida location, with 10 to 15 years of experience.
Role and Responsibilities
Legal Counsel will be part of the Office of General Counsel in London and will be responsible for providing advice and assistance on a broad range of legal matters.
Reporting to General Counsel, Legal Counsel will:
- Assist GEDU Group in-house with complex commercial transactions, M&A and due diligence across jurisdictions in higher education sector.
- Provide support for all aspects of M&A activity, including structuring, due diligence, handling documentation and closing. Drafting, reviewing and finalizing legal agreements (e.g., share subscription agreements, shareholders’ agreement, joint venture agreements, investment documents, business and asset sale agreements, MSAs/GSAs, transition agreements, teaming agreement, term sheets, confidentiality agreements, restructure deeds). Execution, stamping, closing and post-closing activities. Support for M&A legal matters, including in relation to business strategy, performance and risk management.
- Assist with a large variety of standard and complex commercial agreements, including reviewing, drafting and negotiating without limitation loan, supply, agency, collaboration, confidentiality, credit facility, consultancy agreements and leases.
- Assist relevant stakeholders and/or handle corporate matters, labour law matters or compliance matters in India.
- Manage legal and corporate affairs of the Indian Subsidiary.
- Cover ad-hoc legal queries and provide succinct advice to the business on contractual disputes and interpretation of law, as well as to deal with a variety of legal issues including corporate law and regulatory matters in India.
Eligibility
- Have minimum 10-15 years of professional experience.
- Graduate or Post-graduate in Law (LLB) from a reputable university.
