Details of the Job/Internship
HSBC is hiring a Legal Counsel with 8–10 years of experience to join their office in Bengaluru. The role involves supporting the onshore Senior Transaction Manager on all aspects of loan execution, including drafting and reviewing loan-related documentation, advising on transaction structures, and negotiating key terms to ensure compliance with internal policies and regulatory requirements. The position also includes team leadership responsibilities such as mentoring, resource planning, and performance management.
Role and Responsibilities
- Assist the Senior Transaction Manager with all aspects of loan execution.
- Draft and review term sheets, facility agreements, release letters, fee letters, legal opinions, and related documents.
- Review minimum standard reports and coordinate with external counsel.
- Explain commercial and legal risks associated with loan transactions.
- Negotiate key terms in term sheets and LMA facility agreements.
- Participate in calls with stakeholders on legal, policy, and commercial issues.
- Ensure timely and high-quality delivery of work in a time-sensitive environment.
- Communicate matters requiring attention to function heads and internal stakeholders.
- Lead, mentor, and support the team, ensuring performance, engagement, and development.
- Oversee work allocation, resource planning, and onboarding of new team members.
- Follow processes and ensure compliance with statutory and regulatory obligations.
- Undertake relevant training and maintain a mindset of continuous learning.
- Address areas of concern with line management or relevant departments.
Eligibility
- Legal qualification with 8–10 years of relevant experience in the banking or financial services industry.
- Experience drafting, reviewing, and negotiating complex loan and credit agreements, security documents, and ancillary lending documents.
- Comprehensive knowledge of credit and lending laws, regulations, and practices.
- Experience advising on credit transactions, risk management, and regulatory compliance.
- Prior experience in team leadership or people management.
- Strong communication, negotiation, and organisational skills.
- Ability to guide junior team members and work with senior stakeholders.
- Experience with cross-border lending transactions is beneficial.
- Strong interest in developing technical and commercial skills related to the loan market.
- Ability to work under pressure, manage deadlines, and handle complex stakeholder environments.
