Details of the Job/Internship

IBS Software is hiring a Legal Counsel – Manager with 10+ years of experience to join its Trivandrum office.

Role and Responsibilities

• Draft, review, and negotiate SaaS licensing, MSAs, vendor, procurement, consulting, NDA, and partnership agreements.
• Support M&A activities including legal due diligence, transaction documentation, coordination with external counsel, and post-merger integration.
• Advise stakeholders on contractual obligations, rights, and risk mitigation strategies.
• Ensure compliance with applicable laws, internal policies, and business requirements.
• Handle software licensing and intellectual property matters.
• Manage disputes relating to IP rights and technology usage.
• Review and negotiate contracts with international clients ensuring global compliance.
• Maintain standard contract templates and support procurement and business teams.
• Collaborate with senior management to mitigate legal risks and support strategic initiatives.

Eligibility

• Bachelor’s degree in Law (LL.B.); LL.M. preferred.
• Minimum 10+ years of legal experience in the IT industry with strong software licensing expertise.
• Strong knowledge of intellectual property, technology regulations, and data privacy laws.
• Excellent drafting, negotiation, communication, and interpersonal skills.
• Ability to work independently and manage tight deadlines.
• Familiarity with contract lifecycle management tools.

Salary/Stipend
